1. Agreement to These Terms
These Terms of Service (“Terms”) are a binding agreement between you and Omniq (“Omniq,” “we,” “us,” or “our”) governing your use of the Omniq mobile application and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. The Service
Omniq is an AI-powered assistant that records audio you choose to record, transcribes it, identifies speakers, and generates AI summaries, notes, action items, insights, and chat responses. Features vary by plan and may change over time.
3. Eligibility and Accounts
- You must be at least 13 years old to use the Service. If you are under 18, you may use the Service only with the consent of a parent or guardian.
- You must provide accurate account information and keep your credentials secure. You are responsible for all activity under your account.
- Notify us immediately at [email protected] of any unauthorized use of your account.
4. Recording Laws and Consent — Important
- You are solely responsible for complying with all laws that apply to recording conversations, including wiretapping, eavesdropping, and consent laws, which differ by state and country.
- Many jurisdictions (including Florida and California) require the consent of ALL parties to a conversation before recording.
- You must obtain any legally required consent from every participant BEFORE recording them with Omniq.
- Omniq and its owners are not liable for any recording made in violation of applicable law. You agree to indemnify us for claims arising from your recordings (see Section 12).
5. Acceptable Use
You agree NOT to:
- Use the Service for any unlawful purpose, including unlawful surveillance or recording without required consent.
- Upload or record content that infringes others’ rights, is defamatory, or is unlawful.
- Attempt to reverse engineer, decompile, or extract the source code of the Service.
- Circumvent plan limits, rate limits, or security measures.
- Resell, sublicense, or provide the Service to third parties as a service.
- Use the Service to develop a competing product.
- Interfere with or disrupt the integrity or performance of the Service.
We may suspend or terminate accounts that violate these Terms.
6. Plans, Subscriptions, and Billing
- Free plan: includes limited usage — currently 5 sessions per month (30 minutes maximum per session), 20 AI chat messages per day, 2 exports per month, 500 MB storage, and 7-day session history. Limits may change with notice.
- Omniq Pro: an auto-renewing subscription available monthly (currently $19.99/month) or annually (currently $199.99/year, equivalent to two months free). Pro includes unlimited sessions, recording time, chat, and exports, 2 GB storage, 1-year history, and additional features. A student discount (currently 20% off, i.e., $15.99/month or $159.99/year) may be available with a valid .edu email.
- Billing: subscriptions are billed through your Apple ID. Payment is charged at confirmation of purchase. Subscriptions renew automatically at the end of each billing period (monthly or yearly, as selected) unless canceled at least 24 hours before the end of the current period. Manage or cancel anytime in your Apple ID subscription settings. Deleting the app does not cancel your subscription.
- Refunds are handled by Apple in accordance with Apple’s policies; except as required by law, payments are non-refundable.
- We may change subscription prices with advance notice; changes apply at your next renewal.
7. AI-Generated Content Disclaimer
- Transcripts, speaker labels, summaries, action items, insights, and chat responses are generated automatically by AI and MAY CONTAIN ERRORS, omissions, or misattributions.
- AI output is provided for convenience only and is not professional, legal, medical, or financial advice.
- Do not rely on AI output as the sole or authoritative record of any conversation or as a basis for significant decisions. Always verify important information against the original audio or other sources.
8. Your Content and License
- You retain all rights to the audio you record and the content you create (“Your Content”).
- You grant Omniq a limited, non-exclusive, worldwide license to host, store, process, transmit, and display Your Content solely to operate and provide the Service (including processing by the third-party providers identified in our Privacy Policy).
- This license ends when Your Content is deleted from the Service, except for limited usage records described in the Privacy Policy and backups maintained for a limited period.
- You represent that you have all rights necessary to record and upload Your Content, including any required consents from recorded participants.
9. Our Intellectual Property
The Service, including its software, design, branding, name, and logo, is owned by Omniq and protected by intellectual-property laws. Except for the limited right to use the app as intended, no rights are granted to you. You may not use the Omniq name or logo without our prior written consent.
10. Termination
- You may stop using the Service and delete your account at any time in Profile → Delete Account.
- We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service. Where practicable, we will provide notice.
- Upon termination, your right to use the Service ends. Sections that by their nature should survive (including Sections 4, 7, 9, 11, 12, and 13) survive termination.
11. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TRANSCRIPTS OR AI OUTPUT WILL BE ACCURATE OR COMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMNIQ AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $20.
Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless Omniq and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) Your Content; (b) recordings made without legally required consent; (c) your violation of these Terms; or (d) your violation of any law or the rights of any third party.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Florida, and you consent to their jurisdiction, except that either party may seek relief in small-claims court where eligible.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you in the app or by email before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
15. Miscellaneous
- These Terms, together with the Privacy Policy, are the entire agreement between you and Omniq regarding the Service.
- If any provision is found unenforceable, the remaining provisions remain in effect.
- Our failure to enforce any provision is not a waiver.
- You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
